Subscription & Billing Terms
Effective date: June 18, 2026
These terms govern Quenta plans, trials, billing, renewals, taxes, payment providers, cancellations, and refunds.
1. Scope
These Subscription & Billing Terms govern free trials, launch pricing, plan limits, add-ons, annual billing, payments, failed payments, cancellation, refunds, and subscription access.
2. Current Payment Providers
2.1 Provider Terms, Risk Decisions, and Payment Processing Control
Payment processing, vaulting, card network rules, wallet transactions, direct debit, payment links, subscription collection, refunds, chargebacks, payouts, settlement, and provider risk controls are governed by the applicable payment provider’s terms and rules. If Quenta’s terms conflict with provider terms regarding payment-processing mechanics, the provider’s terms control for that payment-processing function.
Payment providers may delay, reject, limit, suspend, reverse, hold, terminate, or require additional review for payment methods, transactions, payouts, merchant accounts, billing methods, or subscriptions. Quenta does not control those decisions and is not responsible for provider-imposed restrictions, holds, reserves, limits, chargebacks, reversals, or compliance actions.
2.2 Provider Onboarding, KYC, KYB, and Compliance Checks
Payment providers may require know-your-customer, know-your-business, beneficial ownership, tax, bank account, sanctions, anti-fraud, anti-money-laundering, or other compliance checks. Customers must provide accurate and complete information requested by Quenta or the applicable payment provider.
If a customer uses payment links, checkout, collections, disbursements, recurring payments, QR payments, direct debit, e-wallets, cards, bank transfers, or similar features through a third-party provider, the customer may be required to enter into separate provider terms and complete provider onboarding, verification, risk review, and compliance checks.
2.3 Payment Method Availability, Fees, and Provider Changes
Available payment methods may vary by provider, customer type, country, currency, plan, risk review, transaction amount, payer device, payer bank, payer wallet, card network, or provider availability. Quenta may add, remove, suspend, or change payment methods at any time.
Payment providers, banks, wallets, card networks, or intermediaries may charge processing fees, convenience fees, foreign exchange fees, chargeback fees, refund fees, payout fees, remittance fees, or other charges. Unless expressly stated otherwise, such fees are the customer’s responsibility.
Xendit is Quenta’s current payment provider direction. PayMongo may also be used as an additional, backup, or future provider. Quenta does not store raw card numbers, CVV codes, or raw payment credentials.

4. Free Trial
The free trial is 30 days unless otherwise stated.
The trial continues at the regular monthly price after the trial unless the user subscribes during launch to lock launch pricing or cancels where permitted.
A trial may require verified email, verified mobile number, and verified billing method before activation.
Quenta may suspend, limit, or terminate access when the trial ends unless the account converts to a paid subscription.

4.3 Trial Confirmation and First Billing Information
If a free trial converts to a paid subscription, Quenta will disclose the trial length, trial end date, plan, regular price, billing frequency, and cancellation method before the customer activates the trial or provides a billing method, where required by law or platform rules.
Quenta should, as an operational practice, display or provide the trial end date and first billing date in the signup flow, confirmation email, and account billing page when reasonably available.
By providing or verifying a billing method and starting a paid subscription or free trial that converts to a paid subscription, customer authorizes Quenta and its payment provider to charge applicable fees, taxes, add-ons, overages, implementation fees, renewal fees, and other authorized charges according to the selected plan, order form, checkout flow, invoice, or billing notice.
Customer authorizes recurring charges until the subscription is cancelled according to Quenta’s cancellation process. Removing a payment method, blocking a charge, disputing a valid charge, or allowing a payment method to expire does not cancel the subscription or relieve customer of amounts already incurred.
By starting a free trial that requires a verified billing method, the customer authorizes Quenta and its payment provider to charge the applicable regular monthly subscription price at the end of the trial unless the customer cancels before the trial ends or converts to a paid launch subscription under the applicable launch terms.
Before the trial begins, Quenta will disclose the plan, price, billing frequency, trial end date, cancellation method, and whether the trial converts to a paid subscription.
5. Launch Pricing and Annual Billing
Launch pricing is approximately 30% off and is locked for the first 12 months when a paid subscription starts during the launch period.
After the 12-month launch lock, renewal may be at Quenta’s then-current regular pricing unless otherwise agreed in writing.
Annual subscribers get 2 months free, subject to the published pricing page or order form.
Annual launch subscribers receive priority onboarding, subject to availability and operational capacity.
5.1 Promotional Offers and Pricing Errors
Promotional pricing, launch pricing, discounts, free trials, annual billing benefits, add-ons, bundled implementation offers, and partner offers are subject to the eligibility rules, dates, limits, and conditions stated by Quenta at the time of subscription. Unless expressly stated in a signed order form, promotional or launch pricing does not apply to future plan upgrades, add-ons, new companies, new branches, reactivations, custom services, enterprise arrangements, or renewals after the stated lock-in period.
Quenta may correct pricing errors, typographical errors, plan-description errors, or accidental omissions on its website or invoices. If a pricing error materially affects an active subscription, Quenta will provide notice and an opportunity to cancel before the corrected price applies, unless the correction is required by law or relates to fraud, abuse, or obvious error.
5.2 Renewal
5.3 Price Change Notice
Quenta may change plan prices, add-on fees, included limits, and billing terms from time to time. Price changes will not affect an already-paid current subscription period unless required by law, due to tax changes, provider fees, plan misuse, or agreed in an order form.
For recurring subscriptions, Quenta will provide reasonable notice of material price increases before the increase applies, where required by law, contract, or Quenta's billing practice.
5.4 Promotions, Discounts, Coupons, and Special Offers
Promotions, discounts, coupons, referral offers, partner discounts, launch pricing, annual discounts, and special offers are subject to eligibility, availability, duration, plan restrictions, geographic restrictions, anti-abuse rules, and any stated conditions. Offers may not be combined unless Quenta expressly allows it.
Quenta may deny, reverse, or cancel promotional benefits obtained through fraud, duplicate accounts, false information, self-referrals, abuse, technical manipulation, or violation of offer terms.
Subscriptions renew automatically for successive monthly or annual terms unless cancelled before the renewal date, unless the applicable order form states otherwise. Renewal pricing may differ from initial pricing after promotional periods, launch lock-in periods, discounts, or special offers expire. Quenta will provide notice of material renewal-price changes where required by law or contract.
6. Add-ons
7. Taxes and Payment Charges
Published prices may be exclusive of applicable taxes, duties, payment-provider charges, withholding, or other government-imposed amounts unless expressly stated. Customers are responsible for taxes and charges applicable to their subscription or purchase.
7.1 Withholding Taxes and Tax Documentation
Fees are exclusive of taxes, duties, bank charges, payment-provider charges, government charges, withholding taxes, and similar amounts unless expressly stated otherwise. If the customer is required by law to withhold any amount from payments to Quenta, the customer must provide valid withholding tax certificates and other required documentation within the period required by law. Unless required by law, the customer may not reduce amounts payable to Quenta for taxes, bank fees, remittance fees, or other charges.
Quenta will issue invoices, receipts, or other billing documents as required by applicable law and based on Quenta’s tax registration status. Unless and until Quenta is confirmed VAT-registered, these terms should not be interpreted as a commitment to issue VAT invoices.
7.2 Customer Withholding Certificate Requirements
Where withholding tax certificates are required, customers must provide complete and accurate certificates showing Quenta’s correct registered name, TIN, income payment, tax withheld, period covered, and other required details. Quenta may request correction or replacement of incomplete, inaccurate, late, mismatched, or unsupported certificates.
If a customer withholds tax but fails to provide proper withholding documentation, Quenta may treat the withheld amount as unpaid to the extent permitted by law. Customer remains responsible for any penalties, interest, deficiencies, or disputes arising from customer’s withholding, remittance, filing, or certificate issuance.
7.3 Quenta Tax Status Changes
If Quenta’s tax registration status, tax obligations, billing documentation, or applicable tax treatment changes, Quenta may update invoices, receipts, prices, tax charges, billing displays, and payment processes as required by law or business operations. Quenta will issue invoices, receipts, or other billing documents according to its tax registration status and applicable law.
8. Failed Payments, Chargebacks, and Suspension
8.1 Payment Retries, Failed Payments, and Access Restrictions
If a payment fails, Quenta or its payment provider may retry the payment method, request an updated payment method, issue payment reminders, suspend paid features, restrict access, downgrade the account, stop OCR or document processing, pause implementation work, or terminate the subscription.
8.2 Chargebacks, Reversals, and Payment Disputes
8.2.1 Chargeback Evidence and Billing Dispute Records
For billing disputes, customer should contact Quenta first and provide supporting information before initiating a chargeback or payment reversal, except where prohibited by law. Quenta may submit account records, order confirmations, acceptance logs, payment-provider records, invoices, usage records, support communications, and other evidence to payment providers, banks, card networks, wallets, or dispute-resolution bodies to contest chargebacks or reversals.
If customer initiates a chargeback, reversal, payment dispute, unauthorized-transaction claim, or similar payment challenge, Quenta may suspend access while the dispute is reviewed. Customer should first contact Quenta in good faith to resolve billing issues before initiating a chargeback, except where prohibited by law.
If a chargeback or payment dispute is resolved in Quenta’s favor, customer remains responsible for the disputed amount, chargeback fees, collection costs, bank fees, provider fees, and reasonable legal fees to the extent permitted by law.
8.3 Refund Method and Provider Timing
Approved refunds, if any, will generally be processed through the original payment method or through another method supported by Quenta’s payment provider. Refund timing depends on the payment provider, bank, wallet, card network, and applicable rules. Quenta is not responsible for delays caused by banks, card networks, wallets, payment providers, settlement systems, or incorrect customer payment information.
If a payment fails, is reversed, disputed, charged back, or remains unpaid, Quenta may retry the charge, request a different payment method, suspend or restrict access, downgrade features, withhold renewals, or terminate access after notice where required by law.
8.1 Collections and Continued Liability
If amounts remain unpaid after the due date, Quenta may suspend access, downgrade features, disable paid modules, stop OCR or document processing, withhold implementation work, decline support, prevent new user invitations, restrict exports to legally required minimums, or terminate the subscription.
The customer remains responsible for all unpaid amounts, collection costs, chargeback fees, bank fees, reasonable legal fees, and other costs incurred by Quenta in collecting overdue amounts, to the extent permitted by law.
9. Cancellation and Refunds
Except where required by law or expressly stated in writing, fees already paid are non-refundable. Cancellation stops future renewals and takes effect at the end of the current billing period unless otherwise stated.
9.1 Cancellation Mechanics
To cancel a subscription, email inquire@quenta.ph from the email address on the account, stating the company name and that you wish to cancel. Quenta will confirm the request and stop future renewals before the next billing date. Cancellation takes effect at the end of the current paid period; the account keeps access until then, after which it reverts to read-only. Fees already paid are non-refundable except where required by law.
9.2 Reasonably Accessible Cancellation Path
Customers may cancel through the cancellation method made available by Quenta, such as the account billing page or written request to Quenta if self-service cancellation is unavailable. Quenta will provide a reasonably accessible cancellation path for active subscriptions.
Quenta will not require customers to use a materially more burdensome cancellation process than the process used to subscribe, unless additional verification is reasonably required for security, account ownership, fraud prevention, billing integrity, or legal reasons.
9.3 Account Deletion Is Not Cancellation
Deleting users, removing data, uninstalling apps, closing a browser tab, removing a payment method, or stopping use of the Service does not automatically cancel paid subscriptions unless the cancellation process is completed. If Quenta offers account deletion, customers should separately confirm whether billing cancellation is required.
9.4 Refunds and Mandatory Rights
Unless required by law, expressly stated in a signed order form, or approved by Quenta as a courtesy, subscription fees, implementation fees, annual fees, add-ons, document packs, branch packs, user packs, and custom services are non-refundable.
Nothing in these Terms limits any mandatory refund, warranty, cancellation, or consumer remedy that cannot legally be waived.
9.5 Mistaken Purchases and Wrong Plan Selection
If a customer believes they selected the wrong plan, add-on, billing frequency, or company account, they should contact Quenta promptly. Quenta may, in its discretion or where required by law, adjust the plan, apply a credit, correct the billing record, or decline the request depending on usage, timing, payment-provider limitations, and applicable terms.
Cancellation must be completed through the method designated by Quenta, such as the account billing page or written notice to Quenta if no self-service cancellation is available. Merely uninstalling the app, not using the Service, deleting users, removing a payment method, or failing to log in does not cancel a subscription.
Unless required by law or expressly stated in a signed order form, subscription fees, implementation fees, annual fees, add-ons, document packs, branch packs, user packs, and custom services are non-refundable.
10. Plan Changes and Usage Limits
10.2 Customer Collections, QR Payments, and Manual Payment Records
Unless expressly stated otherwise, Quenta payment features are limited to facilitating access to third-party payment provider tools, links, status records, references, or integrations. Quenta does not itself provide payment acceptance, acquiring, settlement, remittance, disbursement, stored value, wallet, or fund-transfer services.
If Quenta supports manual payment recording or manual QR/payment confirmation, such records are user-entered bookkeeping records only. Manual confirmation does not verify that funds were actually received, cleared, settled, or irreversible. Customers are responsible for reconciling bank, wallet, card, and payment-provider records before treating payments as final.
10.3 Payment Statuses, Webhooks, Payouts, and Reconciliation
Payment statuses, webhooks, callbacks, transaction references, settlement statuses, and reconciliation data may be delayed, incomplete, duplicated, reversed, or unavailable due to provider, network, bank, wallet, card network, or system issues. Customers are responsible for reconciling Quenta records with official bank, wallet, payment-provider, and accounting records.
For customer-facing payment collection features, payout schedules, settlement timing, rolling reserves, transaction holds, payout failures, payout reversals, and settlement adjustments are determined by the applicable payment provider, acquiring bank, card network, wallet provider, bank, or payment method rules. Quenta does not guarantee payout timing or settlement availability.
If a customer exceeds plan limits, Quenta may require an upgrade, add-on purchase, reduced usage, or restrict affected features. Quenta may change plans, features, pricing, or limits for future subscriptions or renewals by providing notice where required.
10.1 Usage Records and Limit Measurement
Plan limits are enforced by the Service and may be measured by company, workspace, user, branch, document, OCR scan, storage, transaction, report, feature, or other usage metric. Quenta’s usage records, billing records, system logs, document counts, user counts, branch counts, OCR counts, and access logs are controlling for billing and plan-limit purposes unless the customer shows clear error.
