Partner Terms
Effective date: June 18, 2026
These terms apply to approved accountants, bookkeepers, CPAs, advisors, implementation partners, and referral partners participating in Quenta’s partner program.
1. Partner Program Purpose
The Quenta Partner program is intended for CPAs, bookkeepers, accountants, tax advisors, and implementation partners who help MSMEs run cleaner, smarter books using Quenta.
2. Eligibility and Approval
Partner participation is subject to Quenta approval. Quenta may require identity verification, professional background information, client references, compliance with training requirements, and continued good standing.
3. Partner Access and Pricing
Partner access becomes free once the partner has at least 5 active paying client companies, subject to verification and continued eligibility.
Client companies remain responsible for their own paid plans unless Quenta expressly agrees otherwise.
Partner-referred clients may receive 10% off Growth and higher plans for their first 12 months, subject to published launch terms, eligibility, and Quenta approval.
Quenta may change partner pricing, eligibility, discounts, and benefits for future periods by notice.
3.1 Partner Benefits, Eligibility, and Reversal
Partner benefits, free access, referral credits, commissions, discounts, or incentives are not earned until the referred customer is accepted by Quenta, remains active and paying for the required period, and is in good standing. Quenta may reverse or withhold partner benefits for cancellations, refunds, chargebacks, fraud, non-payment, duplicate referrals, client disputes, or violation of Partner Terms.
Free partner access, if offered, is subject to Quenta verification, continued eligibility, active paying client status, good standing, usage limits, and Quenta’s then-current partner rules. Quenta may suspend or revoke free partner access if eligibility is no longer met.
4. Partner Responsibilities
4.1 Partner IP, Brand, and Client Data Restrictions
4.2 Partner Sales, Pricing, and Consumer-Facing Representations
Partners must not misrepresent Quenta pricing, plan limits, free trials, refunds, cancellation rights, support levels, launch pricing, discounts, roadmap features, implementation commitments, payment terms, or Quenta's authority to provide tax, legal, accounting, payment, lending, or regulated financial services.
Partners must clearly distinguish their own services, fees, advice, and client responsibilities from Quenta's SaaS subscription and official Quenta terms. Partners may not promise refunds, credits, discounts, extensions, custom features, SLAs, implementation outcomes, or legal/tax compliance results unless Quenta has expressly authorized the commitment in writing.
Partners may access client data only as authorized by the client and permitted by Quenta. Partners may not misuse, export, transfer, solicit, disclose, or use client data except to provide authorized services to the client through Quenta.
Partners may not copy Quenta workflows, templates, reports, implementation materials, screenshots, training materials, product designs, data models, OCR methods, or other Quenta Technology for resale, competing services, independent training products, or unauthorized partner materials.
Partners may not use Quenta’s name, marks, logo, screenshots, public claims, or brand assets in marketing, proposals, webinars, training, or public materials except as approved by Quenta or allowed by written brand guidelines.
Partners are independent and have no authority to make warranties, promises, discounts, commitments, refunds, service-level commitments, legal representations, or product commitments on behalf of Quenta unless expressly authorized in writing.
Use client data only with client authorization.
Maintain confidentiality of client information and Quenta non-public information.
Comply with applicable professional, ethical, tax, accounting, privacy, and data protection obligations.
Avoid misleading claims about Quenta, partner status, pricing, capabilities, timelines, or guaranteed business/tax/accounting outcomes.
Ensure staff and subcontractors comply with these Partner Terms.
5. No Professional Supervision by Quenta
Quenta does not supervise, audit, endorse, or guarantee a partner’s professional advice, work product, service quality, licensing status, or compliance. Partners are independent from Quenta unless a separate written agreement states otherwise.
6. Resale and Referral Limits
Partners may not resell, sublicense, white-label, bundle, or collect subscription fees for Quenta unless expressly authorized in a signed reseller or partner agreement. Referral benefits, if any, are subject to separate written approval or published partner rules.
6.1 No Agency, Authority, or Exclusivity
6.2 Partner Disputes, Evidence, and Indemnity
Partner must keep accurate records of client authorization, referrals, onboarding communications, pricing representations, support representations, and client instructions. Quenta may rely on platform records, referral records, account logs, support communications, and payment records to resolve partner disputes.
Partner will indemnify Quenta for claims arising from partner misrepresentations, unauthorized commitments, misuse of client data, violation of professional obligations, breach of these Partner Terms, or disputes between partner and its clients, to the extent permitted by law.
Partners may not represent themselves as employees, agents, legal representatives, exclusive partners, authorized resellers, tax representatives, accounting representatives, or implementation representatives of Quenta unless expressly authorized in writing.
Partners have no authority to make warranties, promises, discounts, commitments, refunds, service levels, legal representations, privacy representations, tax representations, accounting representations, or security representations on behalf of Quenta unless expressly authorized in writing by Quenta.
Unless expressly agreed in a signed written agreement, no partner receives exclusive territory rights, industry rights, customer rights, most-favored pricing, guaranteed referral commissions, or guaranteed partner benefits.
7. Termination of Partner Access
Quenta may suspend or terminate partner status for breach, misuse, client complaints, non-compliance, reputational risk, insufficient active clients, or changes to the partner program.
7.1 Partner Program Changes
Quenta may modify, suspend, or terminate the partner program, partner benefits, eligibility rules, referral mechanics, discount structure, free partner access, or partner requirements at any time, subject to any signed written agreement.
